Terms of Service
In short: you keep ownership of your content and can leave with 30 days' notice. We build, run and distribute your channel, sell ads and sponsors on it, and pay you your share monthly. You promise the content is yours or cleared, and we promise to tell you plainly how your channel is doing.
About these terms
These terms are an agreement between you (the channel owner, "you") and Media Icons Limited, trading as Fast on Africa ("FOA", "we", "us"). They apply when you apply through fastonafrica.com or sign up to any FOA plan. Our Refund and Cancellation Policy and Privacy Policy form part of these terms. If you sign a separate written agreement with us, that agreement takes priority where it differs.
The service
FOA turns your content library into a scheduled, always-on streaming ("FAST") or satellite channel. Depending on your plan, we encode your content, build a 24/7 schedule and programme guide, insert ad breaks, run playout, and distribute your channel to Asiko.africa and the other destinations your plan includes. Plan features are as described on fastonafrica.com at the time you sign up.
Plans and setup
There is no free trial. FOA offers four plans: Partner (no monthly fee, revenue share), Relay (for channels that already run a live HLS stream), Owner (monthly fee, larger revenue share) and Broadcaster (from $499 a month for up to 5 channels, quoted per network). Plan features are as described on fastonafrica.com when you sign up.
Every channel has a one-time setup fee that covers checking files or streams, encoding, scheduling and the programme guide. Partner channels pay the setup fee upfront too; it is never deducted from earnings. We may waive setup fees under a published offer, such as the Founding 100, or for channels we invite.
Plans, fees and payment
- Monthly plan fees are billed in advance in US dollars. Naira amounts on our website are shown for convenience and the amount on your invoice applies.
- Setup fees are charged before we start building your channel, on every plan.
- Prices exclude VAT. Nigerian clients pay 7.5% VAT on top, shown at checkout and on their invoice. Nigerian clients pay in naira at the price on their invoice, fixed for 12 months from signing; other clients pay in US dollars.
- Add-ons such as Full HD 1080p, live events and premium content protection are charged separately as quoted.
- Payments are processed by our payment partners (such as Paystack or Flutterwave). We never store your card details.
- If a payment fails and isn't fixed within 14 days of our reminder, we may pause your channel until it is paid.
- We may change our prices with at least 30 days' written notice. The new price applies from your next billing date after the notice period.
- Refunds are handled under our Refund and Cancellation Policy.
Your content and rights
You keep full ownership of your content. Every FOA agreement is non-exclusive: you can sell, license or show the same content anywhere else. You confirm that:
- you own the content you supply, or have all the licences and permissions needed for us to distribute it in the territories you choose;
- any music, footage, images, trademarks or people appearing in it are cleared for streaming and advertising use;
- the information you give us about your content and rights is accurate.
You agree to compensate us for losses, claims and costs that arise because content you supplied infringes someone else's rights or breaks the law.
Licence you give us
While your channel is with us, you give FOA a non-exclusive, royalty-free licence to copy, encode, store, schedule, stream and broadcast your content, and to insert advertising and sponsorship in it, in the territories you choose and on the destinations your plan covers. You also let us use your channel name, logo and short clips to promote your channel and FOA. The licence ends when your channel comes down, except for promotional material already published and archived reports.
Content standards
Content must not be illegal, defamatory, hateful, sexually explicit involving minors, or encourage violence, and must meet the broadcasting and advertising rules of the territories it is shown in, including the Nigerian Broadcasting Code where it applies. We may refuse, remove or edit out content that breaks these standards, or that a platform or regulator asks us to remove, and we will tell you why.
Advertising and revenue share
- Ads and sponsors you sell yourself run in your breaks and you keep 100% of that money. Your own sponsors take priority on your channel; category-exclusive deals FOA sells across the network never block a sponsor you bring.
- Ads and sponsors FOA and its partners sell on your channel are shared: on the Owner and Relay plans you receive 85% and FOA 15%; on the Partner plan the split is 50/50. Shares are calculated on net revenue: after third-party ad-tech, payment and platform costs, and after the cost of delivering your channel to viewers (streaming bandwidth). Broadcaster terms are set in your contract.
- Every month we send a statement showing viewing hours, ad impressions, fill rate and revenue for your channel.
- Your share is paid within 30 days of the end of each month to the bank account you give us. Amounts under USD 20 roll over to the next month.
- Paid-on-time guarantee: if we pay your share late, your next monthly fee is waived and you may end the agreement immediately.
- You are responsible for your own taxes on payments you receive. We may deduct withholding tax where Nigerian law requires it and will give you the receipt.
- Ad revenue depends on viewers and advertiser demand. We don't guarantee any level of viewing or income.
Third-party platforms
We prepare and submit your channel to smart-TV and FAST platforms, but each platform decides its own lineup. Carriage on any third-party platform is not guaranteed, and platforms may add or remove channels under their own rules. Asiko.africa carriage is included with every plan.
Live stream (Relay) channels
- Your stream must reach us over HTTPS with a secure access key, run 24/7 and be cleared for the territories you choose.
- You must give us addressable ad breaks: SCTE-35 markers, or at least 6 minutes per hour reserved for ads we insert. If your ads are baked in and no breaks are available, the channel runs on the flat monthly fee only, with no revenue share.
- You provide a programme guide feed or a weekly schedule.
- If your stream fails, we show a holding screen. Downtime caused by your stream is not covered by our service credits.
Security
- Streams are delivered over HTTPS with expiring signed links, and geo-blocked to the territories you have cleared.
- You keep your master files. We keep encoded copies in access-controlled storage and delete them within 30 days of your channel ending, with written confirmation.
- Staff access uses two-factor login and is limited to people who need it.
- We aim for 99.5% availability of the systems we run. Service credits are set out in the Refund and Cancellation Policy.
- If your channel is re-streamed without permission, we help with takedown notices.
- DRM and forensic watermarking are not included as standard. They are available for premium channels on request and quoted separately.
Channels outside Africa
African-diaspora channels outside Africa join on the same plans, priced in US dollars. Other channels may join Asiko.africa by invitation, or use the FOA engine on their own platforms. The Partner plan is not available to non-African content. Before signing, clients outside Nigeria provide company registration, director identification and payout details in the company's name, and are checked against international sanctions lists. Disputes with clients outside Nigeria are settled by arbitration under the rules of the Lagos Court of Arbitration.
Satellite services
Satellite (DTH) carriage is quoted separately because it depends on bandwidth, coverage beam and transponder capacity. Satellite services are covered by a separate written agreement, which takes priority over these terms where they differ.
Ending the agreement
- You can end your plan at any time with 30 days' written notice. Your channel stays live until the notice period ends.
- We can end the agreement with 30 days' written notice, or immediately if you seriously breach these terms, supply content you don't have rights to, or fail to pay after our reminders.
- When a channel comes down we return or delete your files, as you choose, and pay any revenue share you are owed for the period up to the end date.
- Partner plans run for a 12-month non-exclusive term, which you can end early by upgrading to a paid plan. The setup fee is paid upfront, so nothing is owed if a Partner leaves early.
Liability
We work to keep channels on air 24/7 and our Refund and Cancellation Policy sets out the credits you receive if a fault on our side takes your channel off air. Apart from that, and to the extent the law allows, we are not liable for loss of profits, revenue or data, or for indirect losses, and our total liability to you in any 12-month period is limited to the fees you paid us in that period. We are not responsible for outages caused by third-party platforms, power or internet failures, or other events outside our reasonable control. Nothing in these terms limits liability that cannot legally be limited.
General
- We may update these terms. We will email you at least 30 days before significant changes take effect, and the effective date at the top shows the current version.
- You may not transfer this agreement without our written consent. We may transfer it to another Media Icons Africa company.
- These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute can't be settled by talking to us first, it will be decided by the courts of Lagos State.
- If any part of these terms is found unenforceable, the rest still applies.
